Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites, pages, and services provided by GlobalAI Media (“we”, “us”, “our”). By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1) Eligibility & Account
- You must be able to form a binding contract in your jurisdiction. If you use the Services on behalf of an entity, you represent you have authority to bind that entity to these Terms.
- Some features may require an account or application (e.g., Creator/MCN intake). Keep your credentials secure and notify us of any unauthorized use.
2) Our Services
- Media & Content Operations: operation of digital media properties, editorial programs, advertising and affiliate monetization.
- MCN & Creator Programs: recruitment, content strategy, distribution, monetization, brand partnerships, and IP/licensing support.
- Marketing & Analytics: SEO/SEM, paid media, conversion optimization, and measurement services as agreed in separate statements of work or contracts.
3) Contracts & Priority
Certain Services may require a separate written agreement (e.g., Creator Agreement, Insertion Order, Partnership Agreement, Data Processing Addendum). If there is a conflict between these Terms and a signed agreement, the signed agreement controls for the applicable Services.
4) Your Content & License to Us
- You retain ownership of content you submit (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, publish, and display the User Content solely to operate and improve the Services and to perform the activities you request (e.g., distribution, campaigns).
- You represent you have all necessary rights to grant this license and that your User Content complies with applicable laws and third-party rights (including copyright, trademarks, publicity, and privacy).
5) Acceptable Use
- No unlawful, infringing, deceptive, harmful, or abusive activity.
- No content that violates platform policies (e.g., brand safety, hate speech, sexual exploitation, illegal products).
- No attempt to interfere with or disrupt the Services, their security, or other users’ access.
6) Intellectual Property
The Services, including site design, text, graphics, logos, and other materials we provide, are protected by intellectual property rights and remain our or our licensors’ property. Except as expressly permitted by these Terms or in a separate agreement, you may not use our marks, trade dress, or materials.
7) Advertising, Affiliates & Disclosures
Our media properties may include advertising and affiliate links. Where required, we provide appropriate disclosures. Any campaigns or paid media engagements are subject to program terms or insertion orders specifying performance, deliverables, fees, eligibility, and compliance obligations.
8) Third-Party Platforms & Services
We may integrate with third-party platforms (e.g., YouTube, TikTok, Instagram) and tools. Your use of those platforms is governed by their terms and policies. We are not responsible for third-party services.
9) Payments & Taxes
- Fees, revenue shares, and payment schedules will be defined in an applicable order form or agreement.
- Unless otherwise stated, fees are exclusive of taxes. Each party is responsible for taxes assessed on it by law.
- We may offset amounts owed to you against amounts you owe us, where permitted by law and contract.
10) Privacy & Data
Our Privacy Policy explains how we collect and process information. If required by law or contract, the parties may enter into a Data Processing Addendum that supplements these Terms.
11) Confidentiality
Non-public business, technical, or financial information disclosed by one party to the other and labeled or reasonably treated as confidential (“Confidential Information”) shall be protected using reasonable measures and used only for the permitted purpose. Exceptions apply for information that is public, independently developed, rightfully received, or required to be disclosed by law.
12) Warranties & Disclaimers
- Each party warrants it has the authority to enter into these Terms.
- EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13) Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
- EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $1,000.
14) Indemnification
You will defend, indemnify, and hold us harmless from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
15) Suspension & Termination
- We may suspend or terminate access if you violate these Terms, create security risks, or engage in unlawful activity.
- You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, confidentiality, limitations of liability, indemnity) will survive termination.
16) Governing Law & Disputes
- United States users: these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Venue and jurisdiction lie in competent courts located in Wyoming.
- United Kingdom users: these Terms are governed by the laws of England and Wales. Venue and jurisdiction lie in the courts of England and Wales.
- Singapore/APAC users: these Terms are governed by the laws of Singapore. Venue and jurisdiction lie in the courts of Singapore.
Nothing in this section limits either party’s right to seek injunctive or equitable relief for a breach of intellectual property or confidentiality obligations.
17) Changes to the Services or Terms
We may modify the Services or these Terms to reflect operational, legal, or regulatory changes. We will post updates with a revised “Last updated” date. If a change materially affects your rights, we will take reasonable steps to notify you. Your continued use after changes become effective constitutes acceptance.

19) Miscellaneous
- Entire Agreement: These Terms and any referenced policies or agreements constitute the entire agreement regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- No Waiver: Failure to enforce a provision is not a waiver of that provision.
- Assignment: You may not assign these Terms without our prior written consent; we may assign in connection with a reorganization, merger, or asset transfer.
- Force Majeure: Neither party is liable for delays or failures due to events beyond reasonable control.
